1. 1. Acceptance of Terms

   By accessing or using the AuditEdge platform (the “Product”), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not access or use the Product.

2. 2. Relationship to Client Agreement(s)

   If you are accessing the Product as an authorized user of an organization that has entered into a Master Services Agreement (MSA) and/or Order Form with AuditEdge LLC (a “Client”), your use is also governed by that agreement. In the event of a conflict, the MSA shall control.

3. 3. User Conduct and Responsibilities

   You agree to: (a) use the Product only for lawful purposes; (b) not share your login credentials with others; (c) not attempt to gain unauthorized access to the system; (d) not upload or transmit malicious code or content that violates applicable laws or third-party rights.

4. 4. Data and Privacy

   By using the Product, you acknowledge that your personal information and data submitted may be processed in accordance with our Privacy Policy. You are responsible for ensuring the accuracy of any data you submit.

5. 5. Intellectual Property

   All content, software, and intellectual property within the Product are the exclusive property of AuditEdge LLC or its Clients You may not copy, distribute, or create derivative works without permission. You grant AuditEdge LLC a non-exclusive, worldwide, royalty-free license to use any feedback or suggestions you submit regarding the Product.

6. 6. Account Security

   You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

7. 7. Suspension and Termination

   AuditEdge LLC may suspend or terminate your access at any time for violation of these terms or at the request of the Client associated with your account.

8. 8. Disclaimers and Limitation of Liability

   The Product is provided 'as is' without warranties of any kind. AuditEdge LLC shall not be liable for any indirect, incidental, or consequential damages.

9. 9. Governing Law and Jurisdiction

   These Terms are governed by the laws of the State of North Carolina, without regard to conflict of laws principles. Any disputes arising from these Terms shall be resolved in the courts located in Durham County, North Carolina.

10. 10. Export Controls

    You may not use or access the Product if you are located in a country subject to U.S. sanctions or if you are on a U.S. government restricted parties list.

11. 11. Changes to Terms

    AuditEdge LLC may update these Terms of Use from time to time. Material changes will be posted on our website or communicated via email. Continued use of the Product after such updates constitutes acceptance of the new terms.
